Publishing Association.

By careful examination of the laws of California we find:—
1. That a Publishing Association can be immediately formed in this State.
2. That "any five or more persons" may sign "Articles of Incorporation," and choose directors, not less than three, nor more than eleven. These directors must choose a President of their number, a Secretary, and a Treasurer.
3. The Articles of Incorporation must be recorded in this county, and also at the office of the Secretary of State. And within a month after recording articles, by-laws must be adopted.
4. After the Association is thus formed, other members can be admitted, and receive certificates of stock signed by the President and Secretary.
5. "The meetings of the stockholders, and board of directors of a corporation must be held at its office, or principal place of business."
6. A majority of the stock must be represented in every meeting, either by the persons who hold it, or by proxy. This is expressly stated in the law of this State respecting corporations.
Steps are now being taken for the immediate formation of the Publishing Association.
